Strategic shift as BWXT sells medical business to Nordic Capital for up to $800 million
BWX Technologies has announced a definitive agreement to sell its medical business to Nordic Capital in a deal valued at up to $800 million. This includes BWXT Medical and the stable medical isotopes business from Kinectrics. The sale marks a significant step in the company's strategy to reallocate resources and focus on its core operations.
The transaction is part of BWXT's broader plan to prioritize growth in the nuclear national security and commercial nuclear power sectors. These areas have been identified as crucial for the company’s future success. By divesting the medical business, BWXT aims to streamline operations and invest more heavily in markets that align with its long-term strategic goals.
Nordic Capital’s role in driving medical business expansion
Nordic Capital, a healthcare-focused investment firm with deep expertise in the radiopharmaceutical industry, has positioned itself as a strong partner for BWXT Medical. The firm envisions significant opportunities to scale the business, expand its product offerings, and increase its presence in the market. It plans to advance radiopharmaceutical development, manufacturing, and delivery for diagnostic imaging and therapy.
Rex D. Geveden, BWXT’s president and CEO, highlighted the progress made in BWXT Medical since its acquisition in 2018. The business has seen revenue nearly triple, improved profitability, and expanded its product portfolio, particularly in innovative therapeutic isotopes. He expressed confidence in Nordic Capital’s ability to build on this foundation, citing their strong healthcare background and resources as key advantages.
Regulatory clearances and minority stake
Before the sale can be finalized, the deal must clear regulatory approvals. These are standard for such transactions and are expected to be completed by the end of 2026. Under the agreement, BWXT will hold a minority ownership stake in the medical business and will continue to provide specialized isotope and radiochemical expertise to support its operations.
The transaction involves multiple legal and financial advisors. Solomon Partners is representing BWXT as its exclusive financial advisor. Stikeman Elliott is handling legal matters for BWXT, while Nordic Capital is being advised by Kirkland & Ellis LLP and McCarthy Tétrault. The partnership brings together a strong team of professionals to oversee the deal’s execution.
Christian Hedegaard, a partner at Nordic Capital Advisors, stated the firm sees great potential in scaling BWXT Medical. He emphasized Nordic Capital’s long-standing success in pharmaceuticals and life sciences, noting that radiopharmaceuticals bridge these two areas. The firm is confident in BWXT Medical’s team and plans to work closely with them to expand access to advanced therapies.
