RB Global Posts 33% Earnings Rise Amid Shrinking Take Rates

RB Global reported a 33% jump in net income to $132 million for the second quarter, driven by inventory sales, though core service revenue declined.
RB Global (NYSE:RBA) reported second-quarter net income available to common stockholders of $132.0 million, a 33% year-over-year increase. Diluted earnings per share rose 34% to $0.71, outpacing total revenue growth of 11% to $1.3 billion. According to earnings data from GN markets, this divergence between profit and sales growth signals a shift in the company's revenue mix rather than broad-based top-line expansion.
The profit surge was primarily fueled by higher inventory sales revenue, which jumped 28% to $383.7 million. This segment contributed to a widening inventory rate of 5.9%, up 180 basis points, indicating the company retained a larger portion of resale value. However, core transactional seller revenue slipped 1% to $239.2 million, and marketplace services revenue fell 3% to $83.3 million, highlighting weakness in the traditional service model.
Automotive Volume Drives Gross Transaction Growth
Gross transaction value increased 11% to $4.7 billion, with the Automotive segment leading the charge. GTV in this division rose 13% to $2,448.7 million, supported by an 11% increase in unit volumes and higher average vehicle prices. Lots sold grew 8% to 911.2 thousand, reflecting sustained demand despite a cautious customer environment in other sectors.
The heavy equipment and transportation segments relied heavily on acquisitions for growth, as underlying transaction volumes declined. This mix shift lowered the overall service revenue take rate by 110 basis points to 20.0%. Management attributed this compression to the integration of lower-margin acquired businesses and automotive pricing incentives tied to volume targets.
Acquisitions Boost Results And Guidance
RB Global closed its acquisition of BigIron, strengthening its position in the US agriculture market. Excluding recent acquisitions, organic GTV growth was 7%, revealing that a significant portion of headline expansion was purchased rather than organically generated. The company used this momentum to raise full-year GTV growth guidance to 9-11% from 6-9%.
Adjusted EBITDA guidance was nudged upward to a range of $1,495 million to $1,545 million. The board also increased the quarterly dividend from $0.31 to $0.33 per share, payable in September. Additionally, the company executed a share buyback of approximately 1.5 million shares for $150.0 million during the quarter, signaling confidence in capital allocation efficiency.
Adjusted Profitability Masks Core Slippage
While GAAP EPS showed a 34% jump, diluted adjusted EPS rose only 6% to $1.13. The company attributed the GAAP gain to higher operating income and lower interest expense rather than a broad step up in core profitability. This discrepancy suggests that the headline earnings growth is not fully representative of ongoing operational performance.
The decline in service revenue take rates indicates that RB Global is earning less per transaction as it scales. With transactional seller revenue falling, the company's reliance on higher-margin inventory sales becomes critical. Investors should monitor whether the BigIron acquisition and automotive volume gains can offset the erosion in service margins in future quarters.
