These expenses were directly tied to Phase 0 of the agreement with Fit Energy USA LP.
The company stated that its current product costs and manufacturing overhead exceeded the contractual pricing established under the Fit Energy deal. This mismatch between production expenses and agreed-upon revenue created an immediate financial burden, highlighting the structural challenges in scaling the carbonate fuel cell block systems for data center applications.
Recent Capital Raises And Agreements
Prior to the earnings release, FuelCell executed a strategic agreement with Fit Energy on June 24, 2026. The contract covers the manufacture and delivery of up to 380 megawatts of power for data centers, including an initial 30 megawatt deposit scheduled for delivery later in the year. This deal was positioned as a major expansion into the clean energy sector.
To fund these operations, the company completed an underwritten public offering around July 9, 2026. FuelCell sold over 12 million shares of common stock at $21 per share, raising approximately $245.5 million in net proceeds. This capital injection was intended to support the manufacturing capabilities required to fulfill the new long-term commitments.
