The awards, issued under the company’s Amended and Restated 2014 Inducement Plan, were approved by the People & Compensation Committee without a shareholder vote, consistent with Nasdaq Listing Rule 5635(c)(4). This mechanism allows the company to secure specific talent by offering equity compensation that is immediately material to the employee’s decision to join.
The equity package comprises stock options for three employees covering 8,900 shares and restricted stock units (RSUs) for all five hires totaling 14,000 shares. The stock options carry an exercise price of $26.58 per share, matching the closing price of PCRX on the Nasdaq Global Select Market on the grant date. These options have a ten-year term and vest over four years, with 25% of the underlying shares becoming exercisable on the first anniversary of employment and the remainder vesting in equal quarterly installments over the following 36 months.
Vesting mechanics tie equity to service
The restricted stock unit awards vest annually in four equal installments, with the first tranche becoming eligible on September 1, 2027. Each RSU represents the contingent right to receive one share of Pacira common stock. Both the options and the RSUs are subject to the employee’s continued employment with the company, meaning that departure prior to vesting results in the forfeiture of unvested awards.
