The investment firm disclosed its holdings via a Schedule 13D filing submitted to the SEC on September 11, 2026, confirming the transfer of shares to its subsidiary, VB (Rare Earths) Limited.
Beyond equity acquisition, the deal grants Vision Blue a structural governance role. As long as the firm maintains an ownership threshold of at least 5%, it retains the contractual right to designate one member to the USA Rare Earth board. Sir Mick Davis, the founder of Vision Blue, was appointed to this seat at the closing of the transaction, aligning the investor’s strategic interests with the company’s operational direction.
