TeamSystem Valued at €10B in Francisco Partners Deal

Francisco Partners and KKR are acquiring minority stakes in Italian software firm TeamSystem, valuing the business at up to €10 billion.
Francisco Partners and KKR have agreed terms to purchase minority stakes in TeamSystem from majority shareholder Hellman & Friedman. The transaction values the Italian business software company between €8 billion and €10 billion, a range that reflects the significant growth in the firm's earnings base since 2016.
According to reporting by Pulse 2.0, Francisco Partners is set to acquire approximately 10% of the equity, while KKR and a group of other investors will take a combined stake of roughly 5%. This deal allows Hellman & Friedman to realize partial liquidity while maintaining a significant position in the company through a private IPO structure.
Valuation Reflects Earnings Expansion
TeamSystem serves small and mid-sized businesses with accounting, payroll, and management software. Under Hellman & Friedman’s ownership, the company’s financial profile has shifted dramatically. When the private equity firm first invested in 2016, TeamSystem generated approximately €75 million in EBITDA.
Current figures indicate the company now generates over €1.3 billion in annual revenue and approximately €600 million in core earnings. The reported valuation of €8 billion to €10 billion translates to a multiple of roughly 13 to 17 times these core earnings. This premium pricing underscores the strategic value of the company’s expanded platform in digital tools and financial technology.
Private IPO Structure Preserves Sponsor Control
Hellman & Friedman is employing a private IPO process rather than pursuing a traditional public offering. Under this arrangement, the firm sells minority stakes to new investors while transferring its remaining TeamSystem investment into another Hellman & Friedman fund. This structure facilitates capital return to investors without forcing the company into a public listing or a full sale.
This approach is notable in the current private equity environment, where higher financing costs and valuation discrepancies have complicated conventional exits. By using a continuation vehicle, Hellman & Friedman maintains exposure to a business it believes has further growth potential while diversifying TeamSystem’s investor base.
Existing Shareholders Retain Significant Positions
Prior to this transaction, Hellman & Friedman held approximately 69% of TeamSystem as of July. Other major shareholders include Silver Lake, which holds about 12.8%, and the Abu Dhabi Investment Authority, which owns roughly 9.8%. Silver Lake originally made a €600 million strategic investment in 2023 by purchasing shares from Hellman & Friedman.
The new deal further broadens the ownership structure by adding Francisco Partners and KKR. This diversification aligns with the company’s strategy to attract major technology and private equity investors, supporting its long-term operational goals and market positioning in the European software sector.
