Essential Utilities clears HSR hurdle in American Water merger

Essential Utilities (NYSE: WTRG) has cleared a significant regulatory hurdle in its pending merger with American Water. The waiting period under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976 expired on August 14, 2026. This expiration satisfies one of the primary conditions required to close the transaction, effectively removing the federal antitrust review phase from the path to completion.

Despite the federal clearance, the merger is not yet finalized. The deal remains dependent on state-level regulatory approvals that are currently in various stages of review. Essential Utilities has filed settlement agreements in Texas and North Carolina, while Pennsylvania reached a non-unanimous settlement on August 28, 2026. All three states require final commission approval before the transaction can proceed to closing.

State regulatory approvals remain pending

The Pennsylvania Public Utility Commission (PaPUC) must still approve the non-unanimous settlement reached in late August. This approval is a critical step because the settlement was not unanimous, indicating some regulatory dissent that must be formally resolved. Until PaPUC signs off, the Pennsylvania portion of the merger remains legally uncertain.

In Texas and North Carolina, settlement agreements have been filed but await formal ratification by the respective utility commissions. These filings represent positive progress, as they suggest the parties have negotiated terms acceptable to regulators in those jurisdictions. However, until these commissions issue final orders, the regulatory condition for closing in those states is not met.

Prior approvals establish merger foundation

Essential Utilities has already secured approvals from several key state commissions, creating a solid base for the transaction. The Kentucky Public Service Commission approved the merger on April 21, 2026, followed by the Public Utilities Commission of Ohio on May 13, 2026. The Virginia State Corporation Commission granted approval on June 22, 2026.

Shareholder support for the transaction was also confirmed earlier in the year, with both Essential Utilities and American Water shareholders overwhelmingly approving the merger-related proposals. This shareholder alignment removes a major internal obstacle, leaving state regulatory outcomes as the primary remaining variable in the deal's timeline.

Integration planning continues amid regulatory wait

Chris Franklin, Essential Utilities executive, stated that integration planning efforts are continuing while the company awaits final state rulings. The expiration of the HSR waiting period allows the company to focus its resources on operational integration and compliance with the specific terms outlined in the state settlement agreements.

The company notes that progress on regulatory milestones is ongoing. While the federal antitrust barrier is removed, the uncertainty surrounding the final Pennsylvania, Texas, and North Carolina approvals means the exact closing date remains undetermined. Investors should note that the pending state rulings are the key factors influencing the final timing of the merger.
