MoonPay Buys SEC-Registered North Capital for $60 Million

MoonPay acquires North Capital in an all-stock deal to secure SEC registrations for tokenized asset infrastructure.
Key points
- MoonPay acquires North Capital for over $60 million in an all-stock transaction.
- North Capital brings $9 billion in transaction volume and SEC broker-dealer registrations.
- The deal expands MoonPay's services into tokenized real-world assets and DeFi.
MoonPay will acquire North Capital in an all-stock transaction valued at more than $60 million. The deal combines MoonPay’s payment rails with North Capital’s $9 billion in transaction volume. This merger targets the infrastructure needed for tokenized real-world assets.
North Capital will become a wholly owned subsidiary of MoonPay once regulatory approval is granted. The company brings broker-dealer and investment advisory registrations from the U.S. Securities and Exchange Commission. These licenses are critical for connecting traditional finance with blockchain-based asset markets.
SEC Registrations Drive Deal Value
Sources familiar with the matter told CoinDesk that the valuation exceeds $60 million. North Capital’s primary value lies in its existing regulatory standing with federal agencies. The platform currently supports $9 billion in primary and secondary transaction volume.
The acquisition provides MoonPay with immediate access to a compliant securities infrastructure. North Capital handles capital raising, custody, and clearing for private issuers. This capability allows MoonPay to support complex financial products without building regulatory capacity from scratch.
Expansion Beyond Crypto Payments
MoonPay is moving beyond its core business of cryptocurrency payments. The company recently launched a Trade platform to connect banks with tokenized assets. This deal positions MoonPay to serve decentralized finance and stablecoin liquidity markets.
CEO Ivan Soto-Wright stated the move builds a regulatory foundation for mass adoption. The company aims to connect different parts of the financial system. This strategy follows earlier acquisitions of DFlow and Sodot earlier this year.
Tokenization Becomes Core Focus
Tokenization converts equities, bonds, and commodities into blockchain-based digital tokens. Traditional financial institutions increasingly view this as a major use case for blockchain technology. Analysts predict the sector could reach multi-trillion dollar scale in coming years.
The acquisition signals that payment processors are entering the asset management space. MoonPay leverages its user base to drive adoption of these new instruments. North Capital’s infrastructure ensures these assets meet strict compliance and custody standards.
