Mothercare Shares Drop 68% on Solvency Warning

Mothercare PLC shares fell 68% after the retailer warned that its longer-term solvency is highly uncertain following major Middle Eastern store closures.
Mothercare PLC shares fell 68% in early trading after the retailer disclosed that its longer-term solvency has become highly uncertain. The drop followed news that its largest Middle Eastern franchise partner plans to close most of its regional stores during 2027. The company stated that these closures will materially reduce its order book for the 2028 financial year, leading to lower revenue, profit, and cash flow.
Mothercare was informed on 17 September that the franchise partner is reviewing its store network due to difficult market conditions. Although the review is not yet complete, most of the partner’s Mothercare locations are expected to shut down. The retailer confirmed it has sufficient resources to continue trading for several months and has immediately launched a strategic review of its business model and cost base.
Franchise Closures Drive Revenue Decline
The loss of this major franchise network directly impacts Mothercare’s future scale and cash generation capabilities. The expected closures remove a significant portion of the company’s projected order book for fiscal 2028. This structural reduction in sales volume means the company will face lower top-line revenue and reduced profit margins in the coming years, as the volume of goods sold to the partner will drop significantly.
Chairman Clive Whiley described the development as a heavy blow to the business. He stated that the company is continuing discussions aimed at restoring critical mass and protecting stakeholder value. The central issue for the business has shifted from near-term trading performance to long-term liquidity and solvency. The reduction in future scale makes it difficult to maintain current operational costs without strategic intervention.
Strategic Review Targets Cost Base
Mothercare has launched a strategic review to examine options for preserving value and restoring scale to the business. This process involves assessing the current cost base against the reduced revenue outlook. The company cautioned that both the outcome of this review and its longer-term financial position remain uncertain. It is unclear how much of the existing cost structure can be trimmed to match the smaller order book.
The company stated that its existing resources cover only a limited number of months of trading. This constraint raises the prospect that restructuring, new financing, or other strategic action may be required to ensure continuity. The strategic review will determine whether the company can achieve a sustainable cost base or if further measures are needed to address the liquidity gap created by the franchise losses.
Liquency Constraints Define Future Path
For investors, the primary concern is now liquidity rather than quarterly trading performance. The expected loss of a major franchise network materially reduces future cash generation. Mothercare’s statement that existing resources cover only a number of months indicates a tight cash position. This situation necessitates a focus on securing adequate funding to cover operational costs while the strategic review concludes.
The market reaction reflects the severity of the solvency warning. The 68% share price drop underscores the uncertainty surrounding the company’s ability to maintain its current business model. With the largest Middle Eastern partner closing most stores, Mothercare must now rely on its remaining networks and the outcome of its cost review to survive. The next few months will be critical in determining whether the company can restore financial stability or if more drastic measures are required.
