Rubico Inc. has announced a strategic shift in its financial disclosure schedule, moving from semi-annual to quarterly reporting of operating results. This change will take effect with the release of third-quarter and nine-month data for the period ending September 30, 2026, which the company expects to publish during the fourth quarter of 2026.
The decision aligns Rubico's reporting frequency with that of its listed peers and aims to increase transparency for investors. While the company will provide unaudited condensed financial statements each quarter, it will continue to file audited annual reports and semi-annual interim statements with the U.S. Securities and Exchange Commission.
Reporting Frequency Changes
According to Stock Titan, the new quarterly releases will include statements of operations, balance sheets, and cash flow summaries for both the specific quarter and year-to-date periods. These reports will also feature selected operational data and updates. However, the quarterly filings will not contain accompanying notes to the financial statements.
As a foreign private issuer, Rubico maintains its obligation to furnish unaudited interim condensed consolidated financial statements with accompanying notes on a semi-annual basis. The audited annual consolidated financial statements will remain part of the company's annual report on Form 20-F.
Fleet Expansion and Acquisitions
Rubico currently owns two modern, fuel-efficient Suezmax tankers with a deadweight tonnage of 157,000 dwt each. The company is expanding its fleet through newbuildings and acquisitions. It has two 47,499 dwt MR tanker newbuildings scheduled for delivery in the third and fourth quarters of 2029.
Additionally, Rubico has entered into a share purchase agreement to acquire a shipowning company that holds one high-specification 47,499 dwt MR tanker newbuilding. This vessel is also scheduled for delivery in the second quarter of 2029, with the deal closing by September 30, 2026.
Asset Portfolio Details
Beyond the tanker fleet, Rubico owns a 60-meter newbuilding megayacht scheduled for delivery in the second quarter of 2027. The company intends to divest this asset after its completion. Rubico is incorporated in the Marshall Islands, with executive offices located in Athens, Greece.
