ABx Group secures $4.1 million in capital to fund the Deep Leads Rare Earths Project and ALCORE pilot plant construction in Tasmania.

ABx Group (ASX: ABX) has locked in binding commitments for a $4.1 million capital raise to fund operations at its Deep Leads Rare Earths Project and the ALCORE pilot plant in Tasmania. The funding structure includes a $2.1 million placement for professional investors and a fully underwritten $2 million share purchase plan for existing shareholders. This capital injection is designed to accelerate development priorities across the company’s rare earths and hydrogen fluoride businesses.

Strategic partner Good Importing International (GII) has committed $1 million to the placement, reinforcing its role as a key partner in ABx’s bauxite assets. Additionally, the board and management team have committed $100,000 to the placement, subject to shareholder approval, with a further $60,000 intended for the share purchase plan. Alpine Capital served as the lead manager for the placement and fully underwrote the SPP, providing a layer of financial security for the transaction.

Placement terms and discount structure

The company will issue approximately 67.7 million new shares at a price of $0.031 each. This price represents an 18% discount to the 15-day volume-weighted average price of $0.0378, a common mechanism to incentivize institutional participation. Participants in the placement will receive one attaching option for every two shares purchased. These options are exercisable at $0.046 and expire three years after the issue date, offering potential upside for early investors.

Most of the new shares will be issued under existing ASX Listing Rule 7.1 and 7.1A capacity, streamlining the issuance process. However, shareholder approval is required for the $100,000 board placement and all capital raising options. An extraordinary general meeting is scheduled for 29 October 2026 to seek these necessary approvals. The SPP prospectus is expected to be dispatched on 28 September 2026, with the offer closing on 23 October 2026.

Shareholder participation and SPP details

Eligible Australian and New Zealand shareholders can participate in the SPP for up to $30,000 worth of shares. The SPP price is set at the lower of the placement price or 95% of the five-day VWAP up to the closing date, ensuring competitive pricing for retail investors. Similar to the placement, SPP participants will receive one free attaching option for every two shares acquired, aligning the incentive structure across both funding streams.

Operational focus and strategic momentum

Managing Director Mark Cooksey stated that the funding provides the financial capacity needed to maintain momentum in key work programs. These include advancing the Deep Leads project and executing the rare earths commercialisation strategy. The capital also supports the progression of ALCORE’s continuous pilot plant at Bell Bay. Cooksey noted that GII’s continued support strengthens the company’s strategic position, particularly given the partner’s existing involvement in the bauxite assets.

ABx Group is developing heavy rare earths, hydrogen fluoride, and bauxite projects in Australia. The successful completion of this capital raise positions the company to execute on these development priorities without immediate further dilution. The integration of GII’s investment and the broad-based shareholder participation through the SPP underscores the market’s confidence in the company’s operational roadmap for the coming year.
