Artemis Buys Vista Gold in $600 Million Australian Expansion

Artemis Gold is acquiring Vista Gold in an all-share transaction valued at US$427 million, marking the company's first major expansion into Australia. The deal values Vista at US$2.83 per share, representing a 29% premium over the 20-day volume-weighted average price as of September 18, 2024. Artemis will issue 0.0966 shares for each Vista share held by the remaining 95.05% of shareholders it does not already own, according to Mining.com.au.
The acquisition brings the Mt Todd Gold Project in the Northern Territory into Artemis’s portfolio. This feasibility-stage asset holds 9.1 million ounces of measured and indicated gold resources, alongside 1.4 million ounces of inferred resources. The project is situated within 1,300 square kilometers of contiguous exploration licenses, providing significant potential for future growth beyond the initial deposit.
Blackwater remains primary value driver
Despite the new acquisition, Artemis states that the Blackwater Mine in British Columbia remains its principal value driver. The mine achieved commercial production in May 2025 and is currently undergoing Phase 1A and Expansion Phase 2 developments. These expansions are critical to the company’s strategy, with Blackwater expected to reach an annual production capacity of approximately 500,000 ounces of gold once fully ramped up.
For the current fiscal year, Blackwater is forecast to produce between 265,000 and 290,000 ounces. Management indicates that the development of Mt Todd will be sequenced to follow the completion of the Blackwater Expansion Phase 2, which is currently scheduled for mid-2028. This phased approach allows Artemis to leverage its existing financial strength and engineering capabilities before committing to the next major construction phase in Australia.
Deal timeline and shareholder approval
Vista Gold shareholders are expected to vote on the transaction in December 2024. The deal is subject to standard regulatory approvals, including court and other required consents. If all conditions are met, the companies anticipate closing the transaction in January 2027. This timeline aligns with Artemis’s broader goal of becoming a million-ounce-per-year gold producer by integrating advanced-stage assets like Mt Todd with its current operations.
