Japan Gold Secures $50M Capital via Solidcore Alliance

Japan Gold Corp. has secured $50 million in committed capital through a strategic alliance with Solidcore Resources plc and concurrent equity financings. The deal combines a $35 million earn-in commitment for specific project areas with $10.5 million in new equity raised at a 50% premium to market price.
This financing structure allows the company to fund exploration across its portfolio while eliminating existing debt. Solidcore will spend the committed funds over 36 months to earn up to a 49% interest in five joint ventures, providing Japan Gold with non-dilutive capital for district-scale epithermal gold projects in Japan.
Solidcore Earn-In Structure Details
Under the agreement, Solidcore commits to spending $35 million (US$25 million) on five target areas within Japan Gold’s portfolio. Upon completing this expenditure, Solidcore gains the option to earn a 49% interest in joint ventures for each target area. The partner can further increase its stake to 70% by funding a Pre-Feasibility Study and up to 80% by funding a Bankable Feasibility Study within three years.
Japan Gold retains flexibility in the final stages of development. After a Bankable Feasibility Study is complete, the company can choose to fund 20% of production costs, sell 10% of its interest to Solidcore, convert its remaining 10% stake into a 1% net smelter return royalty, or sell its entire 20% interest to the partner.
Equity Financing and Debt Conversion
Simultaneously, Japan Gold closed two private placements totaling $10.5 million. Solidcore purchased $9.5 million in units at $0.12 each, acquiring a 19.9% partially diluted interest. Equinox Partners invested $1 million for common shares at the same price. Both transactions were priced at a 50% premium to the company's market value, strengthening the balance sheet without diluting existing shareholders at market rates.
The company also eliminated its remaining debt through a conversion by Equinox Partners. The investor converted $2.76 million in convertible debentures and $88,754 in interest into 23.76 million common shares at $0.12 per share. This move leaves Japan Gold debt-free, allowing all new capital to be directed toward exploration and working capital for its remaining 22 pipeline projects.
Royalty Commitment Completes Capital Stack
To complete the $50 million committed capital package, Japan Gold’s existing royalty partner, OR Royalties Inc., has committed to exercise its option for a US$3 million royalty interest. According to the announcement reported by TMX Newsfile, this final component ensures the company has sufficient funding to accelerate exploration across the three main islands of Japan, leveraging Solidcore’s production experience and financial strength.
