Marvell Reclaims Pre-Earnings Peak Despite Margin Volatility

Marvell Technology shares erased their post-earnings decline, hitting new highs as investors digest the impact of its Google custom-silicon deal and GAAP margin shifts.

Marvell Technology (MRVL) shares closed at $244.25 on September 18, erasing the 8% drop that followed its August 27 earnings call. The stock's recovery to a fresh high occurred despite no new fundamental data releases, indicating a shift in market sentiment toward its custom-silicon outlook. The initial sell-off was triggered by the disclosure of a warrant agreement with Google, which allows for the issuance of up to 58.97 million shares at $206.58. This warrant is tied to potential cumulative custom-silicon revenue of up to $120 billion through fiscal 2033. CEO Matt Murphy clarified that revenue associated with this warrant through fiscal 2028 is already included in prior guidance, with the deal becoming significantly more material starting in fiscal 2029.

Guidance Raises Reflect Data Center Demand

Marvell raised its full-year fiscal 2027 revenue guidance to approximately $12 billion from $11.5 billion. For fiscal 2028, the company increased its outlook to about $18 billion from $16.5 billion. Data center revenue, which constitutes 79% of total sales, grew 46% year-over-year, demonstrating strong demand for its interconnect and processing solutions.

GAAP Metrics Reveal Acquisition Costs

While non-GAAP operating margins target the high 30s, GAAP operating margin dipped to 14.48% in the quarter ending August 1, 2026. This decline from a peak of 18.66% coincided with the close of the Celestial AI acquisition in December 2025. The drop reflects acquisition-related costs and intangible amortization, which are excluded from non-GAAP figures. By the most recent quarter, GAAP operating margin had recovered to 16.68%.

GAAP gross margin has expanded for eight consecutive quarters, rising from 46.58% in November 2024 to 53.14% in August 2026. This sustained improvement suggests that the lower margin profile of custom silicon is not dragging down the overall business efficiency. The company’s valuation now stands at 44.76x forward earnings, a 27% premium to its three-year average multiple of 35.2x.

Valuation Priced For Future Growth

The current share price exceeds the $241.65 level implied by Wall Street’s median price target of $275 set immediately after earnings. This indicates that much of the near-term upside is already priced in, ahead of any concrete confirmation that the Google revenue ramp is materializing as projected. Recent positive catalysts include a Citi fireside chat, Jefferies’ assessment of strong AI chip demand, and an expanded capacity deal with GlobalFoundries for optical interconnect chips.
