Kaplan Fox & Kilsheimer LLP has opened an investigation into Cellebrite DI Ltd. (NASDAQ: CLBT) regarding potential securities law violations. The legal action follows the company’s August 13, 2026, announcement of second-quarter results that fell short of internal projections, prompting a sharp decline in share price and an abrupt leadership change.

According to reports from GN stocks/nasdaq, the firm is examining whether the company misled investors regarding its financial outlook. Cellebrite reported total Annual Recurring Revenue of $507.8 million for the quarter, a figure that missed the lower bound of its previously established guidance range of $510 million to $513 million.

Q2 Revenue Falls Short of Guidance

The revenue shortfall was attributed by management to a specific regulatory hurdle. The company cited a foreign entity permit requirement applied to cloud technology, which it stated delayed the closing of certain commercial deals. This operational friction directly impacted the bottom line, resulting in the reported ARR figure landing below the conservative end of the company’s own forecast.

Alongside the quarterly miss, Cellebite reduced its full-year annual recurring revenue guidance by approximately $15 million at the midpoint. The company simultaneously announced the immediate departure of CEO Tom Hogan, replaced by Shiv Ramji. The dual announcement of a financial downgrade and a top executive exit occurred on the same trading day, amplifying market volatility.

The market reacted sharply to the combined news. Cellebrite shares dropped $4.45, representing a 29% decrease, to close at $10.80 per share on August 13, 2026. This significant loss in market capitalization has now become the focal point of the securities investigation, with the firm seeking information from investors who may have suffered losses during this period.
