Tata Shares Slump as Trusts Challenge Chandrasekaran Reappointment

Tata group stocks fell sharply after Tata Trusts declared the executive chairman's reappointment illegal, citing a conflict with the Reserve Bank of India's listing requirements.
Shares of Tata Group entities declined significantly on Friday as a governance dispute escalated between the board of Tata Sons and its majority shareholder, Tata Trusts. The conflict centered on the reappointment of N. Chandrasekaran as executive chairman for a further five-year term.
Tata Chemicals dropped 8% to a day low of Rs 719, while Tata Investment Corp fell 5% to Rs 683 on the BSE. TCS, the group's largest IT service provider, slipped 3.5% to Rs 2,118 per share. Other holdings, including Tata Motors, Tata Elxsi, and Tata Tech, lost up to 3% in value, a move tracked by sources such as GN stocks/shares-fall.
Trusts Declare Board Resolution Illegal
Tata Trusts publicly stated that the board's decision to extend Chandrasekaran's tenure is a legal nullity. The trust, which holds a 66% stake in Tata Sons through the Sir Ratan Tata Trust and Sir Dorabji Tata Trust, argued that the resolution violates specific provisions in the company's Articles of Association.
During the board meeting, four directors voted in favor of the reappointment, while Noel Tata, the chairman of Tata Trusts, was the sole dissenting vote. The trust maintains that its position remains unchanged and that the board lacks the authority to proceed without a valid consensus from the majority shareholder.
RBI Rejection Fuels Listing Debate
The dispute follows a recent decision by the Reserve Bank of India to reject Tata Sons' request to remain private. The central bank clarified that regulations requiring public listing for shadow banks of a certain size apply to the holding company.
Noel Tata has proposed structural alternatives to satisfy the regulator without committing to an explicit public listing. He suggested forming a joint committee with representatives from both Tata Trusts and Tata Sons to examine compliance options, a stance opposed by minority shareholders who view a listing as the most practical route to unlock value.
AGM Quorum Issues Stall Progress
The controversy has complicated the already deferred Annual General Meeting of Tata Sons. Chandrasekaran requires reappointment at the AGM to continue as chairman, a process that hinges on the decisive vote of the majority shareholder.
However, the Sir Ratan Tata Trust is currently barred by the Maharashtra charity commissioner from making decisions, preventing it from participating in the meeting. This restriction has led to a lack of quorum, stalling the formal ratification of the board's decisions and leaving the corporate structure in a state of limbo.
