XRG Completes Southern Gas Corridor Stake Acquisition

XRG has finalized its purchase of an equity stake in Southern Gas Corridor CJSC from the Azerbaijani government, securing access to a 3,500-km gas export network.
XRG has completed the acquisition of an equity stake in Southern Gas Corridor CJSC (SGC) from the Ministry of Economy of the Republic of Azerbaijan. The transaction closed following the satisfaction of all conditions precedent and the receipt of customary regulatory approvals. This move finalizes a strategic shift for the company toward owning a direct share in the region's primary gas export infrastructure.
The SGC network spans 3,500 kilometers, transporting natural gas from the Azerbaijani sector of the Caspian Sea through Georgia and Türkiye to Southern Europe. The infrastructure includes interests in the Shah Deniz gas and condensate field, the South Caucasus Pipeline, the Trans Anatolian Pipeline, and the Trans Adriatic Pipeline. With a total delivery capacity of up to 26 billion cubic meters per year, the network serves as a critical conduit for diversifying energy supplies to European markets.
Strategic integration of Caspian assets
This acquisition links XRG’s upstream investments in Azerbaijan’s Absheron gas and condensate field and Turkmenistan’s offshore Block I concession with downstream export routes. By combining these upstream resources with strategic export infrastructure, the company is building an integrated platform that connects high-quality Caspian supply with growing regional and European demand.
Mohamed Al Aryani, President of International Gas at XRG, stated that the completion is a defining step in the company’s integrated Caspian strategy. He emphasized that the move creates a resilient platform connecting advantaged supply with market demand, while reflecting a commitment to long-term partnerships and disciplined investment to support energy security and economic growth.
Operational capacity and market reach
The SGC assets include shares in the Azerbaijan Gas Supply Company, further anchoring XRG’s position in the local energy ecosystem. The network’s capacity to deliver 26 billion cubic meters annually reinforces Azerbaijan’s role as a long-term energy partner. This infrastructure supports the reliability of supplies by providing a direct, diversified route from the Caspian Sea to end-users in Southern Europe.
The transaction represents a major milestone in XRG’s broader strategy to build a resilient gas position across the Caspian region. By securing a stake in this critical pipeline system, the company has established a durable link between its upstream production assets and established export channels, ensuring a stable flow of resources to key markets.
Regulatory approval and closing
The deal was closed after meeting all necessary legal and regulatory requirements. The transfer of equity from the Azerbaijani government to XRG signifies a formalization of private sector participation in the country’s strategic energy infrastructure. This completion allows XRG to operationalize its combined upstream and downstream assets within the Southern Gas Corridor framework.
The move aligns with broader trends in energy transition and infrastructure development in the region. By investing in long-term gas infrastructure, XRG is positioning itself to benefit from sustained demand for reliable energy supplies. The acquisition underscores the importance of integrated value chains in managing supply risks and ensuring consistent delivery to European consumers.
