Debt Settlements Reduce Liabilities
The filing also detailed financial maneuvers to reduce outstanding liabilities. CID HoldCo issued a $550,000 convertible note to H Capital Ventures on September 10. Additionally, the company settled approximately $1.09 million in combined principal, interest, and fees owed to lender LHT I, LLC. This settlement was executed through a share conversion priced at $0.386 per share.
Nasdaq Compliance Hearing Pending
CID HoldCo appeared before a Nasdaq Hearings Panel on Tuesday regarding listing-compliance deficiencies. The issues cited include minimum market value shortfalls and a delayed 10-Q filing, a mandatory quarterly report required by the SEC. The company remains listed on Nasdaq while the panel’s ruling is pending. This regulatory scrutiny adds a layer of uncertainty to the recent equity issuance.
