vTv Therapeutics Grants 2,500 Stock Options to New Hire

vTv Therapeutics issued 2,500 stock options at $31.44 to a non-executive employee as an employment inducement, per Nasdaq rules. The grant vests over four years under the company’s 2026 plan.
vTv Therapeutics (Nasdaq: VTVT) has granted 2,500 stock options to a non-executive employee as a material inducement to join the company. The grant was made in accordance with Nasdaq Listing Rule 5635(c)(4), which permits inducement equity awards to new hires without shareholder approval. According to a report via GN stocks/nasdaq, this move supports the company’s recruitment strategy as it advances its late-stage pipeline.
The options carry an exercise price of $31.44 per share and a ten-year term. Vesting is structured over four years, requiring the employee to remain with the company. This equity compensation is part of the company’s 2026 Inducement Plan, designed to attract talent for its clinical development efforts.
Vesting schedule aligns with long-term retention
The vesting schedule is front-loaded to secure early commitment. Twenty-five percent of the options vest on the one-year anniversary of the vesting commencement date. The remaining 75% vest in equal quarterly installments over the subsequent 36 months. This structure ties the employee’s financial upside to a sustained period of service, aligning individual incentives with the company’s multi-year clinical timeline.
Cadisegliatin drives late-stage clinical focus
vTv Therapeutics is a late-stage biopharmaceutical company focused on cadisegliatin, a potential first-in-class oral glucokinase activator for type 1 diabetes. The drug is currently in a US Phase 3 trial and holds FDA Breakthrough Therapy designation. The company’s primary objective is to establish cadisegliatin as an adjunctive therapy to insulin, aiming to improve glycemic control through hepatic glucose uptake.
Inducement grants follow recent hiring trends
This grant continues a pattern of using equity inducements to build vTv’s team. Previously, the company granted 23,500 options to two employees and 12,500 options to two non-executive employees under similar Nasdaq provisions. These consistent actions indicate a strategic reliance on stock options to attract key personnel during the critical Phase 3 development stage of its lead candidate.
