CoreWeave Raises $3 Billion for AI Data Centers

CoreWeave is issuing convertible debt to fund its rapid expansion, signaling the immense capital required to build the physical backbone of artificial intelligence.
CoreWeave, a major provider of cloud computing resources for artificial intelligence, has announced plans to raise three billion dollars through a new debt offering. The company stated that these funds are necessary to support the massive infrastructure buildout required to meet growing demand for AI processing power. Investors can purchase an additional half billion dollars in this initial tranche, highlighting the scale of capital being deployed in this sector.
The proceeds from this debt issuance will serve two primary purposes. Part of the money will be used to protect existing shareholders from dilution, which occurs when new shares are issued and reduce the ownership percentage of current holders. The remainder will be directed toward day-to-day operations and capital expenditures. This move is part of a broader strategy to strengthen the company's financial position and move toward an investment-grade credit profile, a status that typically allows for lower borrowing costs.
Stock Sales and Market Reaction
In parallel with the debt issuance, CoreWeave launched an at-the-market program allowing it to sell up to 35 million shares of Class A common stock. Based on recent closing prices, this could raise approximately 2.92 billion dollars. The company emphasized that it will only sell shares when market conditions are favorable, giving it flexibility in how it raises equity capital. This dual approach of using both debt and equity is a common strategy for companies undergoing rapid expansion.
Despite the significant capital raise, the company's stock experienced a slight dip in premarket trading on Thursday, falling more than two percent. However, the broader trend remains positive, with the stock having gained over 16 percent earlier in the year. The offering is being managed by major financial institutions including Deutsche Bank, Goldman Sachs, and JP Morgan, underscoring the confidence of traditional financial partners in the AI infrastructure boom.
Surging Demand for Compute Power
The need for such large funding rounds is driven by a sharp increase in demand for computing capacity. CoreWeave reported that it signed short-term customer contracts in the third quarter at prices of approximately 40 million dollars per megawatt on an annualized basis. The company has also increased its contracted power capacity to 4.2 gigawatts, up from 3.7 gigawatts at the end of June. This expansion reflects the energy-intensive nature of modern AI workloads.
The company’s revenue backlog reached 104.2 billion dollars in the second quarter, with an additional 25 billion dollars in customer commitments signed shortly after. These figures indicate that demand for CoreWeave's services is outpacing its current capacity. The company noted that it has continued to contract new compute capacity at higher prices since the end of June, suggesting that the market for AI infrastructure remains tight and lucrative.
Major Partnerships Drive Growth
A significant portion of this demand comes from large technology companies seeking reliable cloud infrastructure. Earlier this year, Meta committed to spending 21 billion dollars on AI cloud infrastructure from CoreWeave. This deal is in addition to another commitment for Meta to pay approximately 14.2 billion dollars through 2031, with an option to extend the agreement. Such partnerships provide CoreWeave with long-term revenue visibility, which is crucial for justifying the large capital investments required to build data centers.
The reliance on a few major customers presents both an opportunity and a risk. While these contracts guarantee substantial revenue, they also create concentration risk. If one major client reduces its spending or shifts to a competitor, CoreWeave's financial stability could be impacted. However, the company's strategy of diversifying its customer base and expanding its power capacity aims to mitigate these risks. The overall trend suggests that the AI infrastructure sector is in a period of intense growth and capital accumulation.
